ZUKA Partners facilitates socio-economic funding, acting as small cap school provider and beyond in the Mauritian education sector. We turn tangible community projects into growing clusters of small education entities with an optimal cost-benefit-ratio, funded through owners and third party private equity capital. Due to the minor deal size investors can directly commit to acquire shares from ZUKA Partners.
 
We welcome private and institutional investors that understand our Antoine de Saint Exupéry International School project as a sustainable social impact investment with a long term growth potential. ZUKA does not use traditional private equity fund structures and instead conducts day-to-day business and investor relations itself, following international accounting and auditing standards. We avoid fund management fees and instead offer investors attractive growth potential, diversification, annual interests and dividends, share buyback programs as well as capital increases.

ZUKA is not a listed company. However, it is possible to buy and sell shares over the counter. Shareholders are recorded in the register of the company at the Mauritian Corporate and Business Registration Department. In the first three years, our convertible note program also offers full confidentiality and flexible payment terms. It is a loan agreement that automatically converts into equity at a qualified financing event and still enables you to benefit from value gain through price appreciation.

SERIES A INVESTMENT ROUND. WHAT INVESTORS CAN EXPECT.

In the first phase, a limited number of non-voting preference shares and loan agreements as well as convertible notes will be issued to privileged parties. Series A is considered as the seed and early stage investment phase which lasts around 5 years starting on January 2019. Investors with a mid and long term strategy can not only benefit from interests and dividends but a discount on series A shares, possible share buyback programs and an increase in share value over time. Our corporate governance rules include that preference shareholders are offered to join ZUKA Partners annual shareholders meeting where the management board speaks and answers to our dearest investors.
